Can a non-resident open a Slovak s.r.o.?
Yes. Non-residents — EU and non-EU citizens, as well as foreign companies — can be sole shareholders of a Slovak s.r.o. The entire process is done remotely via a notarised power of attorney.
What is the minimum share capital?
The statutory minimum share capital is 5 000 €, with a minimum contribution of 750 € per shareholder. Since 2023 it no longer has to be paid into a special bank account before registration — a written declaration by the capital administrator is sufficient.
Does a Slovak s.r.o. require a notary?
The memorandum of association (or the founding deed for a single shareholder) is signed with officially certified signatures. Certain acts — for example a non-monetary contribution — require a notarial deed (notárska zápisnica). The application for registration is filed electronically through the slovensko.sk portal. We coordinate this on your behalf.
What is an IČO?
IČO (identifikačné číslo organizácie) is the Slovak company identification number, assigned by the Commercial Register (Obchodný register, orsr.sk) upon registration. Every Slovak business entity has one and it is required for invoicing and official communication.
What is the slovensko.sk e-mailbox?
Every legal entity entered in the Commercial Register is given an electronic mailbox on the ÚPVS portal (slovensko.sk), which is activated for the delivery of official decisions after the company is created. All communication with Slovak authorities runs through it. We help you access and operate the mailbox.
What taxes will my Slovak company pay?
Slovak corporate income tax is 10% on taxable income up to 100 000 €, 21% as the standard rate, and 24% above 5 000 000 €. Dividends to a resident natural person are taxed at 7%. VAT registration is required above 50 000 € annual turnover.
How long does registration take?
After the founding documents are signed and all supporting papers are delivered, the electronic application is processed by the registry court usually within a couple of business days. Including document preparation and the trade licence, the full process typically takes one to two weeks. A ready-made s.r.o. is available faster.
What is a registered office (sídlo)?
Every Slovak s.r.o. needs a registered address (sídlo) in Slovakia with the property owner's consent. We can provide a registered office address service so you do not need to rent real office space.
